Effective date:
These Terms of Service (“Terms”) govern your access to and use of Graiboard, including its website, web application, integrations, plugins, connectors, MCP servers, APIs, and related services (collectively, the “Service”).
The Service is operated by Zero Point Ventures LLC, a Virginia limited liability company (“Zero Point Ventures,” “Graiboard,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, connecting an integration, or otherwise using the Service, you agree to these Terms.
If you do not agree to these Terms, do not use Graiboard.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a Graiboard account.
If you use Graiboard on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” includes that entity.
You may not use the Service if applicable law prohibits you from doing so.
Graiboard provides a shared project workspace designed to allow people and authorized AI assistants to work with common project information across supported systems.
Features may include projects, tasks, project Notes, activity history, handoffs, questions requiring user attention, source-attributed agent activity, collaboration tools, integrations, and related functionality.
Graiboard may add, modify, remove, or discontinue features over time.
We do not guarantee that every feature, integration, AI provider, or third-party service will remain available indefinitely.
You are responsible for activity performed through your account and for maintaining the confidentiality and security of your credentials.
You must provide accurate information where reasonably required to operate the Service.
You must promptly notify us if you believe your account has been compromised.
You are responsible for configuring access granted to other users, AI assistants, integrations, plugins, applications, and services connected to your Graiboard account.
“Customer Content” means information submitted to, created in, or stored through Graiboard by you, users you authorize, or AI assistants and integrations acting under your authorization.
Customer Content may include project information, tasks, Notes, handoffs, comments, links, responses, instructions, agent-generated entries, and related project records. This description does not promise a general file-upload or file-hosting feature.
As between you and Zero Point Ventures, you retain ownership of your Customer Content.
These Terms do not transfer ownership of your Customer Content to Zero Point Ventures.
You grant Zero Point Ventures a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, and otherwise use Customer Content only as reasonably necessary to operate, secure, maintain, support, and provide the Service and to comply with applicable law.
This license ends when the relevant Customer Content is deleted from our systems, except to the extent information is retained in accordance with our Privacy Policy, legitimate security or audit requirements, backup practices, or applicable law.
You represent that you have the rights and permissions necessary to submit Customer Content and to instruct Graiboard and connected services to process it.
You must not submit information in violation of law or another person's intellectual-property, privacy, confidentiality, contractual, or other rights.
Graiboard allows you to connect third-party AI assistants, coding agents, plugins, MCP clients, APIs, and other services.
When you authorize one of these connections, you instruct Graiboard to allow that service to perform the actions permitted by the applicable authorization, integration, tool, or account configuration.
Depending on the permissions granted, a connected agent may be able to read project information, create or modify project content, update tasks, write Notes, exchange handoffs, respond to requests, or perform other supported actions.
You are responsible for deciding which agents and services to connect and what authority to grant them. Personal projects are not automatically shared with a Team Room. Sharing a project can make its existing history available to authorized room participants. Each AI connection requires explicit access to a room; membership alone does not grant that connection room access.
Graiboard stores work submitted through its supported tools. It does not automatically capture every conversation or action in an external AI application, nor guarantee that a new chat will retrieve project context without being asked. Notification and scheduling capabilities depend on the supported client.
Third-party AI providers and connected services are not controlled by Zero Point Ventures.
Their services are governed by their own terms, privacy policies, availability, security practices, data-use policies, and limitations.
Graiboard is not responsible for the acts, omissions, output, outages, policy changes, pricing changes, or data practices of a third-party provider.
AI systems can produce inaccurate, incomplete, misleading, outdated, unexpected, or harmful output.
You are responsible for reviewing AI-generated work before relying on it for consequential decisions or actions.
Graiboard does not guarantee that an agent will correctly understand an instruction, perform a task successfully, cooperate with another agent, preserve data correctly, or complete work without human review.
Graiboard may record activity and source attribution based on authenticated connections, integration information, tool calls, and other information available to the Service.
Such records can help reconstruct project activity, but they should not be interpreted as independent verification that an underlying statement, claim, artifact, or task result is true or correct unless Graiboard expressly states otherwise.
Graiboard maintains the project state and activity submitted through its supported features. Source labels identify the authorized connection or actor; they are not independent verification of a claim made in a Note or task.
Notes and activity history are generally append-only. Editing a current task or item may leave earlier values in history. Archiving preserves a project; it does not delete it.
After confirmation, an authorized owner or room administrator can permanently delete an archived project and its associated active project content and history. Limited deletion/request records and separate account, billing, room-administration, and security records can remain. Backups and copies already held by connected services, other participants, or in exported files are not erased by this action. The Privacy Policy describes these limits.
Project Notes export, included with Solo+ and Team, produces a Markdown record of project context and Notes with attribution, timestamps, and available task context. It is not a complete database backup or an export of every raw activity event, and does not include conversations kept only by external AI providers.
You can request account deletion in Settings → Account after confirming your password and typing DELETE. Eligible personal accounts are deleted directly; accounts with billing history, owned Team Rooms, or platform-administrator access require operator review. A pending request leaves your account, content, and billing unchanged and can be canceled. Contributions to projects owned by others may remain in their shared history. Contact contact@zpventures.io if you need help. Canceling a subscription is separate from requesting account or project deletion. Downgrades do not automatically delete project content.
You may not use Graiboard to violate applicable law; infringe or misappropriate the rights of others; gain unauthorized access to accounts, systems, networks, or data; distribute malware or malicious code; interfere with or disrupt the Service; probe, scan, or test vulnerabilities without authorization; circumvent security controls, rate limits, quotas, plan restrictions, or authentication requirements; impersonate another person or misrepresent authorization; use automated systems in a manner that materially harms Graiboard or other users; facilitate fraud or deception; or use the Service in a way that creates an unreasonable security or operational risk.
You may conduct good-faith security research only with authorization from Zero Point Ventures or under a security-testing program we expressly make available.
We may investigate suspected violations and may restrict or suspend access where reasonably necessary to protect the Service, users, or third parties.
Graiboard plans may include limits relating to projects, AI ecosystems, team members, requests, integrations, usage volume, storage, API access, or other features.
Current limits are described in the product, pricing page, checkout flow, or applicable order.
We may enforce reasonable technical and usage limits to maintain Service security, reliability, and availability.
We will not use this section to retroactively charge you for a different paid plan without your agreement.
Current public plans are:

An ecosystem groups connections to the same AI provider; for example, ChatGPT and Codex share the OpenAI ecosystem. Feature access remains subject to authorization, supported integrations, and reasonable operational limits. “Unlimited” project or ecosystem packaging is not a guarantee of unlimited request throughput or storage of any size.
Team seats cover the owner and distinct accepted members across the Team's rooms. Membership in a paid Team does not automatically upgrade a member's separate personal workspace. Users must have room permission, and AI connections must be granted room access separately.
The price and billing interval shown at checkout control the subscription. Current advertised monthly rates are $0 Free, $5 Solo Founding Price, $9 Solo+ Founding Price, and $12 per Team seat, in USD before applicable taxes.
Founding Price. Early individual-plan customers keep their founding rate while continuously subscribed, as advertised when they join.
If an account moves to a lower plan, existing content is retained. Creation or restoration above the new active-project limit is blocked, excess AI ecosystems can be suspended, and paid export or room access may no longer be available until eligibility is restored. Authorized access to retained content remains subject to account and room permissions.
Paid subscriptions are billed through our payment processor.
Unless stated otherwise at checkout, a paid subscription automatically renews at the applicable billing interval until canceled.
By purchasing a subscription, you authorize us and our payment processor to charge the payment method associated with your account for recurring subscription charges, applicable taxes, and authorized purchases.
You are responsible for keeping your billing information current.
You may cancel a paid subscription using the account controls provided by Graiboard or by contacting us where required.
Unless otherwise stated at checkout or required by law, cancellation takes effect at the end of the current paid billing period, and you may continue using the paid features through that date.
Cancellation prevents future renewals but does not ordinarily result in a prorated refund for the current billing period.
Nothing in these Terms limits refund or cancellation rights required by applicable law.
If Stripe reports a subscription as past due, Graiboard preserves eligible paid access for up to seven days from the start of that delinquency episode. Repeated past-due notifications do not restart the clock. The grace period does not extend an earlier scheduled cancellation cutoff. If payment recovers, the old delinquency episode is cleared.
After the grace period, or when billing state is unpaid, incomplete, incomplete-expired, or canceled, paid access falls back to Free restrictions. Trial access ends at its verified trial end. Existing project content is not automatically deleted because of a billing downgrade.
Our payment processor may retry a failed payment or send billing notices according to its configuration. The seven-day Graiboard access policy is not a promise of a particular Stripe retry or email schedule.
Except where required by applicable law or expressly stated by Graiboard, subscription fees are non-refundable once charged.
If we choose to issue a refund or credit in a particular case, that does not obligate us to provide a similar refund or credit in the future.
Fees shown for Graiboard may exclude taxes unless otherwise indicated.
You are responsible for applicable taxes, duties, levies, or similar governmental charges other than taxes imposed on Zero Point Ventures' net income.
Applicable taxes may be calculated and collected at checkout. Any separate tax-registration or remittance obligations are handled under the arrangements applicable to the transaction. Enabling tax calculation does not itself mean that the payment processor remits every tax on our behalf.
You may stop using Graiboard at any time.
We may suspend or terminate access if you materially violate these Terms; create a security, legal, or operational risk; fail to pay amounts when due; abuse the Service; or use Graiboard in a manner that threatens other users or infrastructure.
Where reasonably practicable, we will attempt to provide notice before terminating an account for a remediable violation.
We may suspend access without advance notice when immediate action is reasonably necessary to prevent harm, fraud, abuse, unauthorized access, or a security incident.
Upon termination, provisions that by their nature should survive termination will survive, including provisions concerning ownership, accrued payment obligations, disclaimers, indemnification, limitations of liability, and governing law.
Except for Customer Content and third-party materials, Graiboard and its software, interfaces, designs, branding, documentation, technology, and other materials are owned by Zero Point Ventures or its licensors and are protected by applicable intellectual-property laws.
These Terms grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms.
No other rights are granted except as expressly stated.
If you provide suggestions, ideas, feature requests, or other feedback about Graiboard, you grant Zero Point Ventures the right to use that feedback without restriction or obligation to compensate you.
This does not give us ownership of your Customer Content.
Graiboard depends in part on third-party infrastructure and services.
A third-party outage, policy change, API change, service discontinuation, rate limit, account restriction, security event, or other action may affect Graiboard.
We are not responsible for third-party services outside our reasonable control.
Links to or integrations with a third-party service do not constitute an endorsement of that service.
We may identify certain features as beta, experimental, preview, early access, or similar.
Those features may be incomplete, change materially, contain defects, be subject to additional limits, or be discontinued.
You should not rely on experimental features for critical operations unless you have independently determined that doing so is appropriate.
We work to keep Graiboard available and reliable, but we do not guarantee uninterrupted or error-free operation.
Maintenance, security incidents, infrastructure failures, third-party outages, network conditions, software defects, and other events may cause temporary or permanent interruptions.
We may modify the Service to improve functionality, security, compliance, performance, or sustainability.
If we discontinue a material paid feature in a way that materially reduces the Service you purchased, we may provide reasonable notice or another remedy where appropriate and required by law.
Graiboard is a project and agent-collaboration service.
Information created, displayed, summarized, or transmitted through Graiboard—including information produced by AI assistants—is not automatically legal, financial, medical, engineering, security, investment, or other professional advice.
You are responsible for obtaining qualified professional advice when appropriate.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAIBOARD AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ZERO POINT VENTURES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS; THAT INFORMATION WILL ALWAYS BE PRESERVED OR RECOVERABLE; THAT THIRD-PARTY INTEGRATIONS WILL REMAIN AVAILABLE; OR THAT AI ASSISTANTS WILL PRODUCE ACCURATE, SAFE, OR DESIRED RESULTS.
Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you.
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Zero Point Ventures LLC and its officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs and expenses, including attorneys' fees, arising from or relating to your Customer Content; your violation of these Terms; your violation of applicable law; your infringement or violation of another person's rights; or your misuse of the Service or third-party integrations.
This obligation does not apply to the extent a claim results from Zero Point Ventures' own misconduct where applicable law does not permit indemnification.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZERO POINT VENTURES LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR USE, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ZERO POINT VENTURES LLC ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNTS YOU PAID TO ZERO POINT VENTURES FOR GRAIBOARD DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply regardless of the legal theory of liability and to the fullest extent permitted by law.
Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, disputes arising from or relating to these Terms or Graiboard will be brought in a court of competent jurisdiction located in Virginia, and the parties consent to personal jurisdiction in those courts.
We may update these Terms from time to time.
If a change materially affects your rights or obligations, we may provide reasonable advance notice through the Service, by email, on our website, or through another appropriate method.
The “Effective Date” above indicates when the current version took effect.
If you continue to use the Service after revised Terms become effective, you agree to the revised Terms to the extent permitted by law.
These Terms, together with the Privacy Policy and any additional terms expressly incorporated into them, constitute the agreement between you and Zero Point Ventures regarding Graiboard.
If any provision is held unenforceable, the remaining provisions remain in effect.
Our failure to enforce a provision is not a waiver of our right to do so later.
You may not assign these Terms without our consent, except where applicable law provides otherwise. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar corporate transaction.
Headings are for convenience only and do not affect interpretation.
Neither party is liable for failure or delay caused by events beyond its reasonable control, except for payment obligations.
